1. About these terms

These Terms of Use govern your access to the FirstSDR website and any sales-development, outbound-calling, appointment-setting, and related services offered through it (together, the “Services”). The Services are operated by Trissino Inc. (“Trissino,” “FirstSDR,” “we,” “us,” or “our”).

By accessing the website, requesting a proposal, or entering a written service agreement with us, you agree to the terms that apply to that activity. If you enter into a separate order form or services agreement with us, its commercial and service-specific terms control to the extent they conflict with these website terms.

If you are accepting these terms for a business, you represent that you have authority to bind that business. “You” means that business and its authorized users.

2. Eligibility and business use

The Services are intended for business use, not for personal, household, or consumer purposes. You must be legally able to enter into a binding agreement to use them.

You agree to provide accurate information, keep your account and contact details current, and ensure that anyone who acts on your behalf follows these terms. You are responsible for activities conducted through your account or under your instructions.

3. The Services

FirstSDR provides professional, human-led business-to-business sales-development services. Depending on a written proposal or agreement, the Services may include sales-representative onboarding, outbound calls, campaign coordination, sales playbooks, call outcomes, prospect feedback, and arranging meetings that satisfy criteria agreed with you.

We may use artificial-intelligence and other software tools to organize customer-approved product information, prepare sales guidance, and support our team. These tools assist our representatives; they do not replace their judgment. We may update or improve our methods, provided we continue to honor any material commitments in a signed agreement.

The Services are not a software subscription unless a separate written agreement expressly says otherwise. We do not promise a particular number of responses, qualified meetings, sales opportunities, or revenue.

4. Proposals, campaign scope, and qualified meetings

Before a campaign begins, you and Trissino should document its scope in an order form, proposal, statement of work, or other written agreement. That document should describe the target audience, approved messaging, call-volume assumptions, fees, reporting, campaign dates, and any agreed definition of a qualified or held meeting.

A meeting qualifies for any agreed success fee only under the definition and counting rules in the applicable signed agreement. Where a written agreement has not defined these items, do not treat website copy or an estimate as an agreed campaign scope or a guaranteed result.

5. Your responsibilities and campaign materials

You are responsible for the accuracy, lawfulness, and completeness of information and materials you provide, including contact lists, product claims, approved scripts, suppression or do-not-call lists, and any instructions about who may be contacted. You grant us a limited, non-exclusive license to use those materials solely as needed to provide and improve the Services for you.

You must have the rights and permissions needed to give us those materials and to authorize the campaign. You will promptly update inaccurate records, opt-outs, suppression instructions, product claims, and other campaign guidance. You remain responsible for your products, offers, customer relationships, and the business decisions you make using campaign results.

We may decline or pause instructions or materials that we reasonably believe are unlawful, misleading, unsafe, or outside the agreed campaign scope.

6. Lawful outreach and compliance

Each party will comply with laws applicable to its own role in the campaign. Rules governing calls, telemarketing, email or text follow-up, recording, privacy, consumer protection, and suppression lists vary by jurisdiction and change over time.

Before outreach begins, the parties should identify their respective compliance responsibilities in writing. Unless a signed agreement states otherwise, you are responsible for the legality of the campaign design and targeting decisions, the lawful source and permitted use of contact data and customer materials, any notices or permissions you must obtain, and the accuracy of the claims and instructions you approve. Trissino is responsible for the conduct of its personnel and for carrying out the Services in accordance with your lawful, agreed instructions.

Neither the website nor these terms constitute legal advice or a representation that any campaign complies with every law that may apply. Trissino will not record or transcribe campaign calls by default. Any recording or transcription must be agreed in writing before the campaign, and the parties must establish required notices, consent, and retention practices before it is enabled.

7. Fees, invoicing, and taxes

Fees, billing periods, payment deadlines, usage measures, and any meeting-related success fees are set out in the applicable written proposal or order form. Website descriptions and estimates are informational and do not create a binding price or fee.

You agree to pay undisputed invoices by the stated due date. Tell us promptly about any good-faith invoice dispute and pay any undisputed amount on time. Fees do not include applicable transaction taxes, which you are responsible for paying, except taxes on Trissino’s net income. Any interest, suspension, or cancellation for overdue payment must follow the written agreement and applicable law.

8. Confidentiality

Each party may receive non-public business, technical, financial, campaign, or customer information from the other. The receiving party will use that information only for the Services or the purpose for which it was disclosed, protect it with reasonable care, and share it only with people who need it for that purpose and are subject to confidentiality obligations.

These obligations do not apply to information that the receiving party can show was public without a breach, already known without a duty to keep it confidential, independently developed, or rightfully obtained from another source. A party may disclose information if lawfully required to do so, after giving advance notice where permitted. A separate signed NDA controls if it sets different confidentiality terms.

9. Intellectual property

Trissino and its licensors retain ownership of the website, FirstSDR brand, pre-existing materials, tools, templates, processes, and improvements to them. You retain ownership of materials you provide and any customer-specific information you supply.

Subject to payment and the applicable written agreement, you may use customer-specific deliverables we expressly agree to provide for your internal business purposes. Unless the written agreement says otherwise, neither party receives ownership of the other party’s pre-existing intellectual property. We may use general skills, experience, ideas, and know-how retained in our personnel’s unaided memory, without disclosing your confidential information.

10. Third-party services and website content

The Services or website may rely on third-party communications, hosting, analytics, artificial-intelligence, or other providers. Their services are subject to their own terms and availability. We are not responsible for independent third-party services, although our responsibilities for providers we use to perform a signed services agreement remain as stated in that agreement and applicable law.

Website information is provided for general information only. We may correct, change, or remove website content without notice.

11. Acceptable use

You may not use the website or Services to break the law, infringe another person’s rights, distribute harmful code, gain unauthorized access, interfere with system security, submit information you are not authorized to disclose, or misrepresent your identity or authority. You may not reverse engineer or misuse any software or access method except to the extent that restriction is prohibited by law.

12. Availability, suspension, and termination

We aim to keep the website available but do not guarantee uninterrupted or error-free access. We may suspend access where reasonably necessary to protect people, systems, data, or legal compliance, or to address a material breach, subject to any notice, cure, and suspension requirements in a signed agreement.

Services engagements end or may be terminated according to their written agreement. Unless a signed agreement requires a different period, after termination we will make customer campaign data available for return on request and delete it within 90 days, except for copies retained in routine backups (which are deleted on their normal cycle, generally within 30 additional days) or information we must retain for legal, security, or accounting purposes.

Terms that by their nature should continue—such as provisions on unpaid fees, confidentiality, intellectual property, liability, and disputes—will survive termination.

13. Disclaimers

To the extent permitted by law, the website is provided “as is” and “as available.” Trissino disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement for the website.

Nothing in these terms excludes a warranty or other right that cannot lawfully be excluded. Any additional service warranty must appear in a written agreement signed by both parties.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or business opportunities, arising from website use or these terms—even if advised such loss was possible.

To the maximum extent permitted by law, each party’s total liability arising from these website terms will not exceed the fees paid or payable by you to Trissino for the affected Services during the 12 months before the event giving rise to the claim. This cap does not apply where prohibited by law. A separate signed services agreement may set different or additional liability terms for the Services and controls over this section if it does.

Nothing in these terms limits liability for fraud, intentional misconduct, or any other liability that cannot lawfully be limited.

15. Changes to these terms

We may update these terms by posting a revised version and updating its effective date. Changes apply to website use from their effective date. A material change to an ongoing paid Services engagement applies only as permitted by its signed agreement or with the parties’ written agreement.

16. Governing law and disputes

These Terms and any dispute arising out of or relating to them or the website are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any such dispute must be brought exclusively in the state or federal courts located in the State of Delaware, and each party consents to those courts’ jurisdiction and venue. A signed services agreement may specify different terms for disputes under that agreement.

Nothing in these terms limits a right or remedy that applicable law does not allow the parties to waive.

17. General

These terms and any signed agreement that expressly incorporates them form the agreement between you and Trissino on their subject matter. If any provision is unenforceable, the remaining provisions remain in effect to the extent permitted by law. A party’s delay in enforcing a provision is not a waiver of its right to enforce it later.

You may not assign these terms without our consent, except as part of a merger or sale of substantially all relevant assets. Trissino may assign them to an affiliate or successor in connection with a reorganization, merger, or sale of substantially all of its relevant assets. There are no third-party beneficiaries except where a signed agreement expressly says so. These terms do not create a partnership, joint venture, agency, or employment relationship.
